Terms of Service

These Terms of Service (the "Terms") govern your use of ClipBrief, a service operated by Ucar Studios LLC. By creating an account, accessing ClipBrief, or using its features, you agree to these Terms and the Privacy Policy.

Eligibility and accounts

You must be at least 13 years old to use ClipBrief. If you are not old enough to enter into a binding agreement where you live, you may use ClipBrief only with permission from a parent or legal guardian. You are responsible for providing accurate account information, safeguarding your sign-in credentials, and activity under your account. Contact us promptly if you believe your account has been compromised.

What ClipBrief provides

ClipBrief helps you save supported public short-form social links, generate transcripts and briefs, study hooks and pacing, organize boards, create scripts, and record your own teleprompter takes. Its service inputs are supported public links and text you choose to enter; it does not provide source-video downloads. Availability of link-based processing may change when a third-party platform changes its service or access rules.

AI-generated content

AI-generated transcripts, analyses, chat responses, suggestions, and scripts may be incomplete, inaccurate, unexpected, biased, offensive, defamatory, unsafe, or otherwise unsuitable, and they do not necessarily reflect the views of Ucar Studios LLC. They are suggestions for creative purposes only, not medical, legal, financial, mental-health, safety-critical, or other professional advice. You are responsible for independently reviewing an output, checking its accuracy, legality, third-party rights, and suitability for your audience, and deciding whether to use, share, film, or publish it. ClipBrief does not guarantee that an output is unique, error-free, rights-cleared, or fit for any purpose. ClipBrief also does not promise that following any brief, script, or recommendation will make a video better, gain views, perform well, or go viral on any platform, or affect your account standing with any platform. If an output appears harmful or objectionable, do not use it and report it through the in-app Report a problem feature.

Your responsibilities

• Only submit public links and other content that you own, are authorized to use, or are otherwise permitted to analyze.
• Do not use ClipBrief to infringe intellectual property rights, harass others, scrape at scale, bypass platform rules, or violate any law or third-party terms.
• Do not attempt to access another user's data, backend systems, environment variables, service keys, or internal infrastructure.
• Do not disrupt the service, defeat usage or security limits, automate access without permission, introduce malicious code, or use ClipBrief to create unlawful or harmful content.

Subscriptions

Paid subscriptions are processed by Apple through In-App Purchase. The plan, billing period, price, trial eligibility, and features shown on the purchase screen at the time you subscribe are part of these Terms. Subscriptions automatically renew for the same period unless you cancel through your Apple account settings. If a free trial is offered and you do not want to be charged, cancel at least 24 hours before the trial ends. Deleting ClipBrief or your ClipBrief account does not cancel an Apple subscription. Refunds and billing disputes are handled under Apple's applicable terms and policies. ClipBrief unlocks paid features after Apple verifies an active entitlement, and fair-use and security limits may apply.

Content and ownership

As between you and ClipBrief, you keep the rights you already have in content you create or submit. Submitting a public link does not transfer ownership of the linked content to you or ClipBrief and does not give you rights you did not already have. You grant Ucar Studios LLC a limited, non-exclusive license to host, process, reproduce, and display your submitted content only as needed to operate, secure, and support ClipBrief and provide the features you request.

Copyright complaints

ClipBrief respects intellectual property rights. If you believe content available through ClipBrief infringes your copyright, send a notice to clipbrief@ucarstudios.com with: (1) identification of the copyrighted work, (2) identification of the material you believe infringes it and information reasonably sufficient to locate it, (3) your contact information, (4) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law, (5) a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner, and (6) your physical or electronic signature. We respond to valid notices, including by removing material where appropriate, and we may terminate accounts of repeat infringers.

Service limits

ClipBrief may apply fair-use limits, rate limits, security blocks, or account restrictions to keep the service stable and prevent abuse.

Suspension and account deletion

You may delete your account from Settings. We may suspend or terminate access when reasonably necessary to protect ClipBrief or others, investigate abuse, comply with law, or address a material violation of these Terms. Account deletion does not cancel an Apple subscription, so manage your subscription separately through Apple.

Service availability

To the extent permitted by law, ClipBrief is provided on an "as is" and "as available" basis. We do not promise that every public link can be processed, that the service will always be uninterrupted, or that every transcript or AI output will be accurate. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

Limitation of liability

To the maximum extent permitted by law, Ucar Studios LLC and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, goodwill, or platform outcomes (including account suspensions, reduced reach, or content removal on third-party platforms) arising from your use of ClipBrief, even if advised of the possibility. Without limiting the foregoing, the exclusions and liability cap in this section apply to claims arising from AI-generated content, including its generation, display, use, sharing, publication, or reliance, except to the extent liability cannot lawfully be excluded or limited. To the same extent, our total aggregate liability for all claims relating to ClipBrief is limited to the greater of the amounts you paid to Apple for ClipBrief in the twelve months before the claim or fifty US dollars (US$50). Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you; nothing in these Terms limits liability that cannot be limited by law.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ucar Studios LLC from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from content you submit or publish, your violation of these Terms, or your violation of any law or third-party right, including intellectual property and platform terms.

Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules, and the parties will resolve disputes in the state or federal courts located in New Jersey, except that either party may seek relief in small-claims court or injunctive relief for intellectual-property misuse in any competent court. If you are a consumer in a jurisdiction whose laws give you mandatory rights or a mandatory forum, those rights and that forum are unaffected.

No affiliation

ClipBrief is an independent product and is not affiliated with, endorsed by, or sponsored by TikTok, Instagram, Facebook, YouTube, Apple, OpenRouter, Supabase, or any other third-party platform or provider.

Changes and contact

We may update these Terms as ClipBrief changes. If a change is material, we will update the effective date and provide notice where required. Continued use after updated Terms take effect means you accept them to the extent permitted by law. Questions about these Terms can be sent to clipbrief@ucarstudios.com.
